1.1. Scope of Agreement

2. Core Definitions

For ease of understanding, the following terms used in this Agreement have the meanings set forth below:

Company Entity / We / Us / The Company: Refers to Epoch Forge Inc., located at 25 FIRST AVENUE SW, STE A WATERTOWN,SD 57201.

You / The User: Refers to any individual or entity accessing or using the Services.

The Services: Refers to all games (including but not limited to client-based, web-based, and mobile games), game-related websites, forums, communities, software, updates, patches, customer support, and all related content, features, and activities operated and provided by us.

Account: Refers to the personal account you create to use the Services, which is used to identify you and record your game data.

Company Content: Refers to all materials and information contained within the Services that are owned or controlled by us, including but not limited to the source and object code of the game software, visual interfaces, artwork, graphics, design, characters, storylines, music, sound effects, video, text, trademarks, logos, and all other content protected by intellectual property rights.

User-Generated Content (UGC): Refers to any content that you create, upload, post, or otherwise generate while using the Services, including but not limited to chat text, forum posts, images, videos, game mods, maps, character customization designs, etc.

Virtual Items: Refers to virtual items provided for use within the game environment, including but not limited to Virtual Tokens (such as gold, diamonds), virtual props (such as weapons, skins, equipment), characters, points, levels, and any other digital, intangible items.

3. Acceptance of the Agreement and Legal Capacity

3.1. Legal Capacity

You represent and warrant that you have the full legal right and capacity to enter into this Agreement and to perform your obligations hereunder.

3.2. Age Requirements and Responsibility of Guardians

To create an Account and use the Services, you must have reached the legal age of majority in your jurisdiction.

If you have not reached the legal age of majority (i.e., you are a "minor"), you must review these Terms with your parent or legal guardian. You represent and warrant that your parent or legal guardian has read, understood, and agreed to all the content of these Terms and agrees to take full responsibility for all of your actions while using the Services. Your parent or legal guardian hereby confirms they are fully responsible for your acts, any charges you incur (including for the purchase of Virtual Items), and your compliance with these Terms. We reserve the right to request proof of a guardian's consent at any time.

3.3. Eligibility Restrictions

You may not create an Account or use the Services if you are prohibited from doing so for any reason, including but not limited to a previous ban from the Services for a violation of these Terms or applicable law, or if the laws of your jurisdiction prohibit you from using the Services.

4. Description, Modification, and Interruption of Services

4.1. Service Content

We grant you the right to access and use the Services for the purpose of providing you with a personal, non-commercial entertainment experience. The specific content of the Services is as actually provided by us.

4.2. Service Changes and Evolution

Games and services are constantly evolving. We reserve the right, at our sole discretion, to modify, update, suspend, or permanently terminate any or all parts of the Services at any time, without prior notice. This may include adding new features, removing old ones, adjusting game balance, resetting game data, or changing the way the Services are accessed. You agree that we shall not be liable to you or to any third party for any such actions.

4.3. Service Interruption and Maintenance

To ensure the quality of the Services, we may need to perform scheduled or unscheduled maintenance, repairs, or updates on the platforms (e.g., servers, network equipment) that provide the Services. The Services may be temporarily interrupted during these times. We will endeavor to provide advance notice (if possible) for any resulting inconvenience or loss, but we shall not be liable for any compensation. Furthermore, we are not responsible for service interruptions caused by factors beyond our reasonable control, such as force majeure events, hacker attacks, or system failures.

5. User Accounts

5.1. Account Creation and Information Accuracy

You may be required to register an Account to use the core features of the Services. During registration, you agree to provide accurate, truthful, complete, and current personal information and are obligated to update it promptly if it changes. If you provide any information that is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your Account.

5.2. Account Security and Your Responsibility

Your Account is personal to you. You are solely responsible for maintaining the confidentiality of your Account credentials (such as username and password). You agree to be fully legally responsible for all activities that occur under your Account, whether or not authorized by you. Do not share your Account information with anyone. If you suspect that the security of your Account has been compromised (e.g., password leak, unauthorized access), you must immediately notify us at [email protected]. We are not liable for any loss that you may incur as a result of your failure to properly secure your Account information.

5.3. Account Ownership and License to Use

You acknowledge and agree that you have no ownership or other property interest in your Account. Your Account and all content associated with it (including but not limited to characters, levels, and Virtual Items) are the property of the Company. We grant you only a personal, limited, revocable, non-exclusive license to access and use your Account in accordance with these Terms.

5.4. Sharing, Transfer, and Sale of Accounts

You are strictly prohibited from selling, renting, leasing, gifting, inheriting, or otherwise transferring your Account to any third party in any form. Any such attempt will be null and void and may result in the immediate termination of your Account.

5.5. Dormant Accounts

We reserve the right to take action on Accounts that have been inactive for a continuous period of [e.g., 180 days or more], including but not limited to suspending or terminating the Account and deleting all data associated with it (including Virtual Items), without prior notice and without any liability.

6. Intellectual Property

6.1. Our Intellectual Property

The Services and all "Company Content" contained therein are owned by Epoch Forge Inc. or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws and treaties worldwide. You may not use, copy, modify, distribute, display, perform, publish, or create derivative works of any "Company Content" in any way without our express prior written authorization.

6.2. Limited License Granted to You

Subject to your continued compliance with these Terms, we grant you a personal, limited, non-commercial, non-transferable, non-sublicensable, revocable license to install and use the Services on your personal devices for your personal entertainment purposes only.

6.3. License Restrictions

The rights granted to you in these Terms are limited. You agree that you will not (and will not permit any third party to):

(a) reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code of any part of the Services;

(b) modify, adapt, translate, or create derivative works of the Services;

(c) use, copy, distribute, or transfer the Services for commercial purposes (including, but not limited to, providing services at an internet cafe, computer gaming center, or other commercial establishment);

(d) remove, obscure, or alter any copyright, trademark, or other proprietary rights notices contained in or on the Services.

7. User Code of Conduct

When using the Services, you must comply with all applicable laws and regulations and respect other users. You agree not to engage in any of the following behaviors:

7.1. Legal and Moral Compliance

To post, upload, or transmit any content that is illegal, harassing, defamatory, abusive, threatening, hateful, racially discriminatory, violent, obscene, invasive of another's privacy, or otherwise objectionable.

7.2. Prohibited Disruptive Behavior

(a) To use, develop, or distribute any unauthorized third-party software, such as cheats, automation software (bots), hacks, mods, or any software designed to modify or interfere with the Service experience.

(b) To exploit design flaws, bugs, or errors in the game to gain an unfair advantage.

(c) To interfere with, disrupt, or place an unreasonable burden on the servers or networks of the Services, or to attempt to gain unauthorized access to the Services.

(d) To transmit any viruses, Trojan horses, worms, spyware, or other malicious code.

7.3. Social Interaction Guidelines

(a) To impersonate any person or entity, including our employees, or to falsely state your affiliation with any person or entity.

(b) To "stalk," harass, bully, or otherwise harm other users.

(c) To collect or store personally identifiable information about other users.

(d) To spam, flood chats, or post unsolicited advertisements in chats or communities.

7.4. Restrictions on Commercial Activities

Any form of "Real Money Trading" (RMT) is strictly prohibited. This means using real money to trade or exchange any Virtual Items, Accounts, or services outside of the Services. Offering or using services like power-leveling or boosting is also strictly forbidden.

7.5. Enforcement for Violations

If we determine, in our sole discretion, that you have violated this Code of Conduct or any other part of these Terms, we have the right (but not the obligation) to take any action we deem appropriate, including but not limited to: issuing a warning, temporarily or permanently banning your Account, deleting your UGC, and restricting your access to some or all features of the Services, without prior notice.

8. User-Generated Content (UGC)

8.1. UGC Definition and Your Responsibility

You are solely responsible for all UGC that you create, upload, or share. You represent and warrant that your UGC: (a) does not infringe upon any third party's intellectual property, privacy, publicity, or other rights; (b) does not contain any illegal or violative content under these Terms; and (c) you own or have obtained all necessary rights, licenses, and consents to post the UGC and to grant us the license below.

8.2. UGC License You Grant to Us

By submitting any UGC on the Services, you hereby grant Epoch Forge Inc. a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, fully sublicensable right and license to use, host, store, reproduce, modify, create derivative works of (such as translations or adaptations), communicate, publish, publicly perform, and publicly display your UGC in any and all media or formats, whether now known or hereafter developed, for any purpose whatsoever (including for commercial, advertising, and promotional purposes), without any notice, attribution, or compensation to you.

8.3. Our Rights Regarding UGC

We do not undertake to monitor all UGC. However, we reserve the right, in our sole discretion, to review, monitor, screen, edit, refuse, or remove any UGC at any time and for any reason, without notice. We assume no responsibility or liability for any UGC or for any damage resulting therefrom.

9. Virtual Items, Payments, and Fees

9.1. Virtual Items

The Services may allow you to purchase with real money or earn within the game "Virtual Items."

(a) Limited License: You acknowledge that you do not own these Virtual Items. You are purchasing only a limited, personal, non-transferable, non-sublicensable, revocable license to use these Virtual Items.

(b) No Monetary Value: Virtual Items do not have a real-world monetary value and cannot be exchanged for real money, goods, or any other items of monetary value.

(c) Right to Manage: We reserve the right, in our sole discretion, to manage, regulate, control, modify, or eliminate Virtual Items at any time, which may affect their perceived value or price. We shall have no liability to you for the exercise of these rights.

(d) Transfer Prohibited: Except as expressly permitted within the game, trading, selling, or transferring Virtual Items outside the game is strictly prohibited.

9.2. Payments and Fees

You agree to pay for all purchases and fees incurred under your Account, whether or not authorized by you. All payments will be processed through our designated third-party payment service provider. You must comply with that provider's terms of service. You are responsible for paying all applicable taxes.

9.3. No Refund Policy

All purchases made through the Services are final and are non-refundable, non-transferable, and non-exchangeable, except as otherwise required by applicable law. We reserve the right to offer refunds or credits in specific situations at our sole discretion, but such a decision does not create an obligation to provide any refunds in the future.

11. Beta Versions and Software Updates

11.1. Beta Test Services

We may offer you access to "Alpha," "Beta," or early access versions of certain games or features. These test services may be incomplete, may contain errors or bugs, and may cause data loss or device failure. Your participation in a test is voluntary and at your own risk. All information about test versions is considered confidential.

11.2. Software Updates

To continuously improve the Services, we may require you to download and install updates, patches, or new versions of the Services. You agree that we may automatically deploy these updates to your device without further notice to you. If you do not install these updates, you may not be able to continue using the Services.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Epoch Forge Inc. AND ITS AFFILIATES, LICENSORS, AND DISTRIBUTORS EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO:

(A) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE;

(B) WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, ACCURACY, AND PERFORMANCE OF THE SERVICES;

(C) WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, FREE OF VIRUSES, OR OTHER HARMFUL COMPONENTS.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Epoch Forge Inc., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US FOR THE RELEVANT SERVICES IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to defend, indemnify, and hold harmless Epoch Forge Inc., its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

(a) your access to or use of the Services;

(b) any UGC you post;

(c) your violation of any provision of these Terms;

(d) your violation of any third-party right, including but not limited to any intellectual property or privacy right.

16. Termination of the Agreement

16.1. Termination by You

You may terminate this Agreement at any time by permanently ceasing to use the Services and uninstalling all related software from all your devices. If you wish to delete your Account, please follow the instructions within the Services or contact us at [email protected].

16.2. Termination by Us

We may, at our sole discretion, suspend or terminate your Account and your access to the Services at any time, with or without notice, if we believe you have materially or repeatedly breached these Terms, or if your actions pose a risk or potential legal exposure for us, other users, or the public.

16.3. Consequences of Termination

Upon termination of this Agreement, all rights granted to you under these Terms (including the license to use the Services and any Virtual Items) will immediately cease. You will not be able to access your Account or any related data. Account termination is non-refundable.

16.4. Survival of Terms

The termination of this Agreement will not affect the provisions that, by their nature, should survive termination, including but not limited to Section 6 (Intellectual Property), Section 8 (User-Generated Content), Section 13 (Disclaimer of Warranties), Section 14 (Limitation of Liability), Section 15 (Indemnification), Section 17 (Dispute Resolution and Governing Law), and Section 18 (General Provisions).

17. Dispute Resolution and Governing Law

17.1. Governing Law

The formation, validity, interpretation, performance, and resolution of disputes of these Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Epoch Forge Inc. is established, without regard to its conflict of law principles.

17.2. Informal Negotiations

To expedite resolution and control the cost of any dispute, claim, or controversy, you and we agree to first attempt to negotiate any dispute informally for at least sixty (60) days before initiating any arbitration or court proceeding. Such informal negotiations commence upon written notice from one party to the other.

17.3. Binding Arbitration

If informal negotiations fail to resolve the dispute, you and we agree that all disputes arising out of or related to these Terms or the Services shall be finally and exclusively resolved by binding arbitration. The arbitration shall take place in the location of Epoch Forge Inc. and be conducted in accordance with internationally recognized arbitration rules then in effect. The arbitral award shall be final and binding on both parties.

17.4. Class Action Waiver

You and we agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive your right to file or participate in any form of class action.

18. General Provisions

18.1. Entire Agreement

These Terms and the documents they incorporate by reference constitute the entire agreement between you and Epoch Forge Inc. regarding the Services and supersede all prior or contemporaneous oral or written understandings or agreements.

18.2. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may, at our sole discretion, assign or transfer any or all of our rights and obligations under these Terms without notice to you or your consent.

18.3. Severability

If any provision of these Terms is held by a court or arbitral tribunal of competent jurisdiction to be illegal, invalid, or unenforceable, that provision will be enforced to the maximum extent permissible to effect its intent, and the remaining provisions of these Terms will continue in full force and effect.

18.4. No Waiver

Our failure to exercise or enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

18.5. Force Majeure

We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

We may provide you with notices through postings on the Service website, by email to the address associated with your Account, or through in-game notifications. You consent to receive electronic communications from us.
